Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of PepHub ("the Service"), a software application available on the HubSpot Marketplace that enables the sending of PEPPOL e-invoices directly from HubSpot CRM. The Service is operated by Qualia Consultancy ("we", "us", "our"), a company registered in Belgium.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Service Description

PepHub is a bridge application that connects HubSpot CRM to the PEPPOL e-invoicing network. The Service retrieves invoice data from your HubSpot account, transforms it into a PEPPOL-compliant format, and transmits it to the recipient via the PEPPOL network through our third-party access point provider, Recommand.eu.

PepHub does not itself generate UBL XML documents or operate a PEPPOL access point. We rely on Recommand.eu for the conversion of invoice data to UBL 2.1 BIS Billing 3.0 format, Schematron validation, digital signing, and AS4 delivery.

2. User Accounts and Responsibilities

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. HubSpot Integration

The Service requires you to connect your HubSpot account via OAuth 2.0. By connecting your HubSpot account, you authorize PepHub to access your HubSpot CRM data, including but not limited to invoices, quotes, line items, companies, and contacts, as required to perform the Service.

You represent that you have the necessary authority to connect your HubSpot account and to authorize PepHub to access the data contained therein. PepHub is not responsible for any issues arising from changes made by HubSpot to their platform or API.

The Service, including its original content, features, and functionality, is and will remain the exclusive property of Qualia Consultancy. The Service is protected by copyright, trademark, and other intellectual property laws of Belgium and the European Union.

The PepHub name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Qualia Consultancy. You may not use such marks without our prior written permission.

You retain ownership of all invoice data and business information you process through the Service. We claim no ownership rights over your data.

6. Payment and Billing

PepHub offers a free tier and paid subscription plans. Paid plans are billed on a monthly basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees to your chosen payment method.

7. Service Availability and Warranties

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that invoices sent through the Service will be successfully delivered to the recipient on the PEPPOL network. The delivery of e-invoices depends on factors outside our control, including the availability and correct configuration of the recipient's PEPPOL access point.

8. Limitation of Liability

To the maximum extent permitted by Belgian law, in no event shall Qualia Consultancy, its directors, employees, partners, agents, or affiliates be liable for:

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Qualia Consultancy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period to comply with legal obligations, resolve disputes, and enforce our agreements. You may request deletion of your data by contacting us at the address below.

You may terminate your account at any time by contacting us at support@pephub.eu. Termination of your account does not relieve you of any obligation to pay outstanding fees.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
